This Agreement contains the terms and conditions pertaining to your participation as an Offer Angel Search Affiliate. In this Agreement, "we" or "our" refers to Offer Angel LLC., and "you" refers to a "Search Affiliate." We will hereafter use "you" and "Affiliate" interchangeably.
1. How to Enroll in the Program
To begin, complete the Affiliate application. We will automatically accept you into our program. However, we reserve the right to reject your application at anytime and for whatever reason we deem necessary. Possible reasons for rejection include, but are not limited to, sites we find to contain sexually explicit, violent, discriminatory, or illegal content. If your site is rejected, you may reapply at any time. Once again, we will verify that your site is in compliance with our standards.
2. Links on Your Site
You will provide a link to our Offer Angel site through an approved Offer Angel Affiliate Link -approved links located on your site. These links will allow visitors to use Offer Angel and/or subscribe to the services at OfferAngel.com.
You must register all sites that will include the OfferAngel.com affiliate link with the Affiliate Manager prior to placement of the link. Visitors to your site must clearly understand that clicking on the OfferAngel.com-approved links will take the visitor to OfferAngel.com.
We will provide you with technical specifications describing how to include the links on your site. We will also provide the graphics needed for your site. You may not represent OfferAngel.com or use its trademarks, logos or other branding in any manner other than providing approved links or Approved Content. Approved Content is content regarding the Co-Branding on OfferAngel.com. This approved content must be kept up-to-date.
3. Subscriptions and Tracking
We will be responsible for signups placed by customers who follow links from your site to OfferAngel.com and for services purchased from OfferAngel.com. This means we will handle all issues pertaining to the signups and services purchased that are a result of a link from your site. This includes all customer service, including cancellations and renewals, once a customer subscribes, and returns to OfferAngel.com. We will track all customer impressions, clicks, and sales. Each OfferAngel.com Affiliate Link is issued a unique identification number that is associated with your site. You are responsible to ensure your site is properly formatted and working.
4. Referral Payment and Commission / Consumer Discounts
An Affiliate site will receive a 25% commission on all services sold to visitors who are introduced to OfferAngel.com through the affiliated site.
To generate a referral payment, the customer must follow the link (in approved format) from your site to OfferAngel.com and purchase the “Personalized Mortgage Report”.
Or
You can pass a discount of 25% off the standard list price on the “Personalized Mortgage Report” on visitors who are introduced to OfferAngel.com through the affiliated site by providing them with a special coupon code unique to You.
Note: The Customer is responsible for populating the coupon code on checkout of the “Personalized Mortgage Report” to receive the discount.
5. Payment Schedule
You will earn referral payments based on purchases of the OfferAngel.com “Personalized Mortgage Report”, which were referred through your site. Affiliates are paid on a net 30 terms.
6. Policies and Pricing
Customers who buy services through one of our partners are considered Offer Angel customers. Revenue will only be shared based on qualified purchases. Qualified purchases are all purchases which have been paid and settled. Accordingly, all Offer Angel rules, policies, and procedures will apply to those customers. We have the right to change our subscription prices or policies at any time. Do not include price information in your link to OfferAngel.com, as we cannot guarantee a certain price for subscriptions.
7. How to Identify Yourself as an Affiliate
We will provide a graphic image, and other linking options to put on your site and that identifies you as a partner. You will need to put this on your site and make sure that it works.

8. Limited License
You have a nonexclusive, limited, revocable right to use our icon and other like images only for the purpose of identifying your site as an Affiliate and to generate subscription sales. You may not modify any of our images. We reserve all rights for the icon, our trade names and trademarks. We may revoke your license at any time by giving you written notice.
9. Responsibility for Your Site
You will be solely responsible for the development, operation, contents, and maintenance of your site. We take no responsibility for content or functionality of your site.
10. Relationship of Parties
Nothing in this Agreement creates a partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties.
11. Limitation of Liability
We are not liable for indirect, special, or consequential damages (or any loss of revenue, profits, or data) arising in connection with this Agreement or the Program.
12. Disclaimers
We cannot guarantee that our site will be uninterrupted or error-free, and we will not be liable for any consequences arising from any interruptions or errors.
13. Terms and Conditions
The term of this Agreement will take effect upon our acceptance of your Affiliate application and will end when terminated by either party. Either party may terminate this Agreement at any time, for any reason. We may choose to terminate this Agreement if we determine your site content is inappropriate, you have breached any conditions of this Agreement, or if you are sending "spam" (mass, unsolicited e-mail messages) to customers.
You are only eligible to earn referral payments on subscriptions purchased during the term of the Agreement. Payments earned through the date of termination will remain payable only if the subscription is not canceled. We may withhold your final payment for a reasonable time to ensure that the correct amount is paid. Upon one-week's notice, Offer Angel may change, suspend or discontinue any aspect of this Agreement or the Service, including the availability of any Service feature, database, or other content. We also reserve the right to modify any portion of this Agreement.
IF ANY PORTION OF THIS AGREEMENT OR ANY FUTURE MODIFICATIONS TO THIS AGREEMENT ARE UNACCEPTABLE TO THE AFFILIATE, OR CAUSE THE AFFILIATE TO NO LONGER BE IN COMPLIANCE WITH THE AFFILIATE AGREEMENT, THE AFFILIATE OR OFFERANGEL.COM MAY CANCEL THE AGREEMENT. AN AFFILIATE'S CONTINUED USE OF THE SERVICE CONSTITUTES A BINDING ACCEPTANCE BY THE AFFILIATE.
14. Miscellaneous
This Affiliate Agreement has been made in and shall be construed and enforced in accordance with Arizona law. Any action to enforce this agreement shall be brought in the federal or state courts located in Phoenix.
